Data Processing Agreement

Version 1.2 · Effective 2026-10-29 · Article 28 GDPR · This Agreement forms part of the Terms of Service and is concluded electronically together with them (Article 28(9) GDPR)

01

Parties

Controller (the „Client“): the legal entity whose name, company code, registered office and e-mail address are stated in the FDD Shield account and the order.

Processor (the „Provider“): MB „Martin Solutions“, company code 305587540, registered office Čiurlių g. 4, Sergeičikai II, LT-54462 Kaunas district, Lithuania, e-mail info@fdd24.com, service: FDD Shield.

This Agreement is concluded when the Client, while placing an order, ticks the box accepting the Terms of Service and this Agreement; the date of acceptance, the version of the Agreement and the Client's details are recorded.

02

1. Subject matter

1.1. This Agreement is concluded pursuant to Article 28(3) of Regulation (EU) 2016/679 (GDPR) and governs the processing of personal data carried out by the Provider on behalf of the Client in providing the FDD Shield services.

1.2. This Agreement forms part of the Terms of Service. In the event of a conflict, this Agreement prevails on matters of personal data processing.

1.3. The subject matter, duration, nature and purpose of processing, the types of personal data and the categories of data subjects are set out in Annex I for each service separately.

03

2. Obligations of the Client (controller)

2.1. The Client determines the purposes and means of processing and is responsible for ensuring that the processing it entrusts to the Provider has a legal basis.

2.2. The Client is responsible for ensuring that the access granted to the Provider (FTP, SFTP, administrator, database or other) covers no more data than is necessary to provide the service, and that the Client is entitled to grant such access.

2.3. The Client gives instructions in writing, including in electronic form (order form, account, e-mail).

04

3. Obligations of the Provider (processor)

3.1. Instructions. The Provider processes personal data only on documented instructions from the Client, including with regard to transfers to a third country, unless required to do so by Union or Member State law; in such a case the Provider informs the Client of that legal requirement before processing, unless that law prohibits such information on important grounds of public interest.

3.2. Notification of unlawful instructions. If, in the Provider's opinion, an instruction infringes the GDPR or other data protection provisions, the Provider immediately informs the Client and may suspend execution of the instruction until the matter is resolved.

3.3. Confidentiality. The Provider ensures that persons authorised to process the personal data have committed themselves to confidentiality in writing and that this obligation survives the end of their employment or other relationship.

3.4. Security. The Provider implements the technical and organisational measures required by Article 32 GDPR, as described in Annex III.

3.5. Sub-processors. The Client gives the Provider a general written authorisation to engage sub-processors. The list of approved sub-processors is set out in Annex II. The Provider informs the Client of any intended addition or replacement of a sub-processor at least 30 calendar days in advance; within that period the Client may object on reasoned grounds. If the parties cannot find a solution, the Client may terminate the affected service without penalty.

3.6. Sub-processor obligations. The Provider imposes on each sub-processor the same data protection obligations as set out in this Agreement and remains fully liable to the Client for the performance of the sub-processor's obligations.

3.7. Assistance with data subject rights. Taking into account the nature of the processing, the Provider assists the Client by appropriate technical and organisational measures, insofar as this is possible, in fulfilling the Client's obligation to respond to requests to exercise the rights laid down in Chapter III GDPR. If the Provider receives a request directly from a data subject, it does not act on it independently but forwards it to the Client within 3 working days.

3.8. Assistance with Articles 32–36. The Provider assists the Client in ensuring compliance with the obligations laid down in Articles 32 to 36 GDPR, taking into account the nature of the processing and the information available to the Provider.

3.9. Personal data breaches. Upon becoming aware of a personal data breach, the Provider notifies the Client without undue delay and in any event within 24 hours, providing the available information: the nature of the breach, the approximate number of data subjects and records concerned, the likely consequences and the measures taken or proposed. This period is deliberately shorter than the 72 hours allowed to the Client under Article 33(1) GDPR so that the Client can notify the supervisory authority in time.

3.10. Data after the end of the services. Upon the end of the provision of services, the Provider, at the Client's choice, deletes or returns all personal data to the Client and deletes existing copies, unless Union or Member State law requires storage. The Client states its choice within 30 calendar days of the end of the services; failing that, the data are deleted. The Provider confirms deletion in writing upon request.

3.11. Information and audits. The Provider makes available to the Client all information necessary to demonstrate compliance with Article 28 GDPR and allows for and contributes to audits, including inspections, conducted by the Client or an auditor mandated by the Client. Audits are carried out no more than once per calendar year (except where ordered by a supervisory authority or following a security breach), on at least 14 calendar days' notice and with the Client bearing the Provider's reasonable costs.

05

4. Transfers outside the European Economic Area

4.1. The Provider does not transfer personal data outside the European Economic Area, except on the Client's instructions or as set out in Annex II.

4.2. Should such a transfer become necessary, it is carried out only on one of the grounds set out in Chapter V GDPR and after informing the Client in advance.

06

5. Liability

5.1. Liability is governed by Article 82 GDPR and the Terms of Service.

5.2. The limitations of liability set out in the Terms of Service do not apply to damage caused intentionally or through gross negligence, or in any other case where such limitation is prohibited by mandatory law (Article 6.252(1) and (2) of the Civil Code of the Republic of Lithuania).

07

6. Duration

6.1. This Agreement remains in force for as long as the Provider processes personal data on behalf of the Client and ends upon performance of clause 3.10.

6.2. The confidentiality obligation in clause 3.3 survives termination.

6.3. Clauses which by their nature are intended to survive (3.3, 3.10, 3.11, 5) remain in force.

6.4. Amendments. The Provider may issue a new version of this Agreement. A new version becomes binding on the Client at the earlier of: (a) the Client's confirmation of it in the Provider's application; or (b) the Client's placing of a new order or renewal of the services. Until then, the version accepted by the Client governs the relationship. The confirmation is recorded with the date, time, version number, user and IP address (Article 28(9) of the General Data Protection Regulation).

6.5. Amendments to the Client's detriment. Where a new version would reduce the Client's rights or the Provider's obligations as compared with the version accepted by the Client, it becomes binding on the Client only upon the Client's express confirmation. In such a case, placing a new order or a renewal does not substitute for that confirmation. Clause 3.5 applies to changes of sub-processors.

Annex I. Description of processing by service

Common to all services: categories of data subjects – the Client's customers, employees, website visitors, form submitters and other persons whose data are in the Client's systems; duration – the period of provision of the service; special categories of data are not knowingly processed and are not requested.

Duration – the period of provision of the service; on its termination – in accordance with clause 3.10 (Article 28(3)(g) GDPR)

Note on „Destruction“. This service differs fundamentally from the others: destruction is not a consequence but the service itself, and it is irreversible. It is therefore performed only on the basis of a record of data destruction confirmed by the Client in the account before destruction; without that confirmation destruction does not start.
